If any member of the Governing Body, Professional Advisory Board, and/or employee having an outside interest in an entity providing services to the organization and/or other client/patient relationships of the Homecare Agency will derive any profit or gain directly or indirectly by reason of this relationship, the objectivity or loyalty of that member could be questioned, and which could lead to a possible conflict of interest. All possible conflicts of interests are required to be disclosed.

 

1.      If a matter arises in which a member of the Governing Body or Professional Advisory Board has a conflict of interest, this shall be promptly disclosed by the Board member to the Governing Body.

2.      In the event of proceedings that require input, voting, or decisions, the individual(s) with a conflict ofinterest must be excluded from the activity. Governing Body member, advisory committee member or employee must disclose any known significant reasons why a transaction might not be in the best interest of the Homecare Agency and a board member shall not participate in discussion nor vote on transactions.

3.      A staff member also may be in a conflict of interest position. Any employee or contracted staff member that could, or would, derive any profit or gain directly or indirectly by a relationship with another organization, must make the conflict known to the supervisor. If a staff member has ties to or ownership in an unrelated company, he/she will notify the supervisor, so as not to be placed in a compromising position. For example, a staff member who is also an employee of a hospital that gives referrals to the Homecare Agency or a staff member who has ownership in a medical supply company that provides medical supplies to Homecare Agency. The supervisor, in conjunction with the leaders of Homecare Agency, will determine appropriate actions.

4.      The nature of outside interests may be determined as ownership, entertainment, gifts, loans, employment status, or related staff members.

 

5.      It is the responsibility of all staff members to inform his/her immediate supervisor if he/she concurrently works for a competitor of the Homecare Agency.   It is the employee’s responsibility to notify his/her supervisor of any changes in employment status.
